Zunde is operated by Cherubim Invest (Pty) Ltd, a private company registered in South Africa (registration number 2025/233538/07). In these terms "Zunde", "we" and "us" mean that company. These terms are an agreement between Zunde and the organisation you register or act for on the Zunde institutional buyer portal. By creating an account or using the portal you accept them for that organisation, and you confirm you have its authority to do so. If you do not accept them, do not use the portal. The Zunde farmer app, the buyer app and zunde.app have their own terms.

Zunde is a market readiness and prequalification platform with a free produce marketplace. The institutional buyer portal is for schools, hospitals, public bodies, feeding programmes and non-profit organisations. It lets you publish a prequalification programme with your own criteria, invite farms or receive their applications, keep a register of the farms that meet your criteria, browse produce that farms have listed, and exchange messages with farms. The portal supports prequalification only. It is not a tender, an award or a procurement decision, and your own procurement rules continue to apply. Zunde does not process payments, run tenders, set prices, or take commissions on trade.

Give accurate information about your organisation and keep it up to date. The person who registers is the account owner and may add staff. You are responsible for what your staff do in the portal and for removing people who leave. Keep sign-in details private and tell us at once if you think someone else has used your account. Everyone who uses the portal must be 18 or older. We may ask for documents that show your organisation is real, and we may hold back anything farms or the public would see until we have checked them.

Farm records belong to the farms. You see a farm's detailed record only after that farm has accepted your invitation or applied to your programme. Before that you see only what the farm has chosen to show publicly on the marketplace. Use farm information only to run your sourcing relationship with that farm. Do not sell it. Do not publish it or pass it to anyone outside your organisation without the farm's agreement, and do not use it to contact the farm about unrelated matters. When a farm leaves your programme, stop using its information except where the law requires you to keep a record.

Market Readiness shows how a farm stands against the requirements of a market or of your programme. It is built from what the farm has declared, the evidence the farm has uploaded and, where the portal says so, a check. Declared means the farm's own statement, which nobody has checked. Verified means a Zunde steward has checked the farm's document on the date shown or, for a requirement you set yourself, that your own organisation has checked it. Zunde prepares farms for certification. It does not certify, license, inspect or audit farms, and a readiness status is not a certificate, a legal opinion or a promise that any buyer, regulator or border authority will accept a consignment. Requirements change. We update them when we learn of a change, but we cannot promise the list is complete on any given day. Your own checks, audits and legal duties remain yours.

You are responsible for the programmes and requirements you publish. They must be accurate, lawful and things you really require of a supplier. A programme tells farms what you need from them. It is not an offer to buy, a contract or a promise of offtake. Prequalifying a farm does not award it a contract. We may review a programme before farms can see it, and we may decline or remove one that is misleading, unlawful or unfair to farms. When you check a farm's evidence against a requirement you set, you are responsible for that check.

Any dealing happens directly between farmers and buyers, off-platform. Zunde is not a party to it and does not guarantee any transaction, price, or offtake. We are not responsible for payment disputes, shipping issues, or produce quality.

Farms never pay Zunde. There is no charge to use this portal today. If we introduce a paid service we will tell you first, and you will not be charged unless you agree in writing. There is no commission on anything you buy or sell.

You keep ownership of what you add: your organisation's details, logo, programmes, requirements, documents and messages. You give Zunde permission to store it, show it to the farms and people you direct it to, and use it to run the service. Add only what is accurate and what you have the right to share. Messages are for sourcing business. Do not send anything unlawful, abusive or misleading. We may look at content when it is reported to us or when we need to keep the service safe and lawful, and we may remove it.

Do not give false information or pretend to be another organisation. Do not try to reach farm records that a farm has not opened to you. Do not copy farm information in bulk, by hand or by software, beyond the exports the portal provides. Do not use the portal to send advertising unrelated to sourcing. Do not interfere with the service, test its security without our written agreement, or try to get around its limits. Do not share your sign-in with anyone.

The portal, its software, its design, the Zunde name and the way requirements are organised belong to Zunde or its licensors. You may use them only to use the portal as these terms allow. The requirements of regulators and certification schemes belong to the bodies that issue them.

We work to keep the portal available and correct, but we provide it as it is. We do not promise that it will be free of interruptions or errors, or that it will meet a particular need. Features may change, and a feature described as planned is not a promise. Information about a farm comes from that farm unless the portal says a check was made.

To the extent the law allows, Zunde is not liable for losses that arise from dealings between you and a farm, from the conduct of another user, from a rejected or delayed consignment, or from a decision you make using Market Readiness information. We are not liable for lost profit, lost business or indirect loss. Our total liability to you in any 12 months is limited to the fees you paid us in that period. Nothing in these terms limits liability that the law does not allow to be limited.

You may close your account at any time from the delete account page or by writing to support@zunde.app. We may suspend or close an account that breaks these terms, puts farms or other users at risk, or that the law requires us to close. We will tell you why unless the law prevents it. When an account closes, your programmes close, farms keep their own records, and we handle your information as the Privacy Policy describes. The sections on farm information, liability and governing law continue to apply.

These terms are governed by the laws of Zimbabwe. If you have a complaint, write to support@zunde.app first and we will try to settle it with you within 30 days. A dispute that is not settled that way is referred to arbitration in Harare under the Arbitration Act [Chapter 7:15]. Either side may still ask a court for urgent relief.

We may change these terms as the portal or the law changes. We will tell the account owner by email or in the portal before a material change takes effect. If you keep using the portal after that date, you accept the change. If you do not accept it, you may close your account.
